These terms and conditions apply to your use of Iyenova services whether you make payments or access the service using a website or operated by a third-party merchant; or by a Merchant that is owned or controlled by us, in control of us, or under common control with us

By using the Iyenova Service, you agree to be bound by the terms and conditions and our policies, each as may be modified from time to time. if you do not agree to these terms and conditions, you may not access or use the Iyenova Services.

Scope.

yenova owns and operates a platform in Nigeria that allows Merchants (Vendors) to sell their products to the public over the internet. This Platform is currently provided on the website Iyenova but may be provided on different websites or application in future.

The Merchant (Vendors) will have the opportunity to sell their products on the Iyenova platform. Iyenova is entitle to accept purchases on behalf of the Vendor. The service provided by Iyenova is limited to referring customers to the Merchant/Vendor and accepting orders and payments on their behalf. In addition to this at Iyenova’s discretion they may provide the Merchant/Vendor with analytics about the performance of the Merchant/Vendor’s products and additional marketing support.

The Merchant/Vendor authorizes Iyenova to accept binding orders from customers on their behalf.

Iyenova may carry out changes to the website or service, or suspend the service without notice.

Privacy Policy.

What information we collect?

We will ask for your name, email address, billing and shipping address and telephone numbers. We will also ask for your chosen method of payment credit card or online payment service). Your payment information is securely transferred to a third-party vendor for processing. We do not retain credit card or other payment identification information on our servers or elsewhere.

DISCLAIMER OF WARRANTIES AND LIABILITY.

This website, all the materials and products (including but not limited to software) and services, included on or otherwise made available to you through this site are provided on Iyenova “as is” and “as available” basis without any representation or warranties express or implied except otherwise specified in writing without prejudice to the forgoing paragraph, Iyenova does not warrant that;

• This website will be constantly available, or available at all
• The information on this website is complete, true, accurate or non-misleading.

Iyenova Will not be liable to you in any way or in relation to the contents of, or use of, or otherwise in connection with, our website.

Iyenova does not warrant that this site; information, content, materials, product (including software) or services included on or otherwise made available to you through their servers; website, or electronic communication sent from Iyenova are free of viruses or other harmful components. Nothing on Iyenova will constitutes, or is meant to constitute, advice of any kind.

All products sold on Iyenova are governed by laws of the Federal Republic of Nigeria and if Iyenova is unable to deliver such products due to implications of the Laws, Iyenova will return or will give credit for the amount received by Iyenova from the sale of such product, which could not be delivered to you.

You will be required to enter a valid phone number while placing an order on Iyenova by registering your phone number with us, you consent to be contacted by Iyenova via phone calls and/or SMS notifications, in case of any order or shipment or delivery related updates. Iyenova will not use your personal information to initiate any promotional phone calls or SMS.

RETURN POLICY

By confirming this order, you agree to the following terms and conditions

• That you have received the goods in good condition and are satisfied with their quality.
• Our company will proceed with payment to the vendor after three (3) days of your confirmation of the order.
• If you are not satisfied with the goods or they are damaged upon receipt, you must use the App to return the order within three (3) days after receipt.
• Once that three (3) days elapses, the order cannot be returned nor payment refunded under any circumstances.

PAYMENT

while availing any of the payment methods offered by our services, our services will not be responsible or assume any liability, whatsoever in respect of any loss or damages arising directly to you due to:

• Lack of authorization for any transactions.
• Exceeding the present limit mutually agreed by you and between your banks.
• Any payment issues arising out of the transaction.
• Decline of transaction for any other reason.

All payments made against the purchases/services by you shall be compulsorily in Nigerian Naira acceptable by the Central Bank of Nigeria.

MODE OF PAYMENT

All order placed shall be paid online. Note that there shall be no payment on delivery

DELIVERY

All items purchase on this site are deliver by the vendors within 14 working days.

COPY RIGHT

All content included in or made available through any Iyenova Service, such as text, graphics, logos, buttons icons, images, audio clips, software is the property of Iyenova or its content suppliers are protected by the Laws of the Federal Republic of Nigeria and Copyright Laws. The compilation of all content included in or made available through any Iyenova services is the exclusive property of Iyenova.

LICENSE AND ACCESS

Subject to your compliance with these conditions of Use and any service Terms, and your payment of any applicable fees, Iyenova or its content providers grant you a limited, nonexclusive, non-transferable, non-sublicensable license to access and make personal and noncommercial use of the Iyenova services. This license does not include any re-sale or commercial use of any collection and use of any Iyenova service, or its contents; any collection and use of any product listings, descriptions, or prices or other use of account information for the benefit of any third party. No Iyenova Services, nor any part of any Iyenova service, may be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without the express written consent of Iyenova. You may not frame or utilize framing techniques to enclose any trademark, logo or other proprietary information of Iyenova Without express written consent. You may not misuse the Iyenova services. You may use the Iyenova Services only permitted by law. The license granted by Iyenova terminates if you do not comply with these conditions of use or any service Terms.

RISK OF LOSS

All purchases of physical items from Iyenova Platform are made pursuant to a shipment contract between the Vendors. This means that the risk of loss and title for such items pass to you upon our delivery to the carrier.

CANCELLATION

Iyenova reserves the right to cancel any order without any explanation for doing so, under situation where Iyenova is not able to meet the requirement of the order placed or order so placed/cancelled does not comply with the Iyenova policy or for any reason. However, Iyenova will ensure that any communication of cancellation of an order is intimated within appropriate time to the concerned person and any applicable refund, will be made in reasonable time.

DISPUTES

Any dispute relating to these terms and conditions shall be subject to the exclusive jurisdiction of the Court of Nigeria.

GOVERNING LAW

This service shall be governed and construed in accordance with the laws of the Federal Republic of Nigeria.

IYENOVA VENDORS TERMS AND CONDITIONS

• Iyenova owns and operates a platform in Nigeria that allows Merchants (Vendors) to sell their products to the public over the internet. This Platform is currently provided on the website Iyenova but may be provided on different websites or application in future.
• The Merchant (Vendors) will have the opportunity to sell their products on the Iyenova platform. Iyenova is entitle to accept purchases on behalf of the Vendor. The service provided by Iyenova is limited to referring customers to the Merchant/Vendor and accepting orders and payments on their behalf. In addition to this at Iyenova’s discretion they may provide the Merchant/Vendor with analytics about the performance of the Merchant/Vendor’s products and additional marketing support.
• The Merchant/Vendor authorizes Iyenova to accept binding orders from customers on their behalf.
• Iyenova may carry out changes to the website or service, or suspend the service without notice.

IYENOVA’S RIGHTS AND OBLIGATIONS

• The Vendor acknowledges that the relationship between customers and Iyenova is governed by the privacy policy and the general terms and conditions, both available on the website.
• yenova will present on the website the products listed by the Vendor. The Vendor will be responsible for listing their own products.
• Iyenova is authorized to accept binding sales on behalf of the Vendor and will be careful to pass order data on the Vendor as well as technology allows.
• In order to maintain its reputation for quality and high standard of service, Iyenova reserves the right to terminate the relationship with the Vendor if the Vendor repeatedly receives bad reviews or complaints, or fails to comply with our recommendations.

VENDOR’S RIGHTS AND OBLIGATIONS

• The Vendor acknowledges that the relationship between customers and Iyenova is governed by the privacy policy and the general terms and conditions, both available on the website.
• The Vendor is obliged to provide the information necessary when listing a product on Iyenova. This should include but is not limited to, a detailed title and sun-title, price, quantity, picture and description. The Vendor must never knowingly deceive a potential customer by misrepresenting their product/s. the Vendor must notify Iyenova of any changes to the detail of their listings while uploaded on the site.
• The Vendor guarantees that information listed on Iyenova relating to his products satisfies all legal requirements, and in particular satisfies information requirements for consumer protection.
• The Vendor will be responsible for keeping an up-to date inventory of all their products listed on Iyenova.
• The Vendor guarantees that the information provided by him does not violate any third party’s copyright.
• The Vendor will contact the customer no more than is necessary for processing the transactions referred by Iyenova. In particular, the Vendor will not send any advertising email or other commercial advertising email or other commercial advertisements to the customer without prior agreement from Iyenova or the expressed wish of the customer.
• The Vendor will process orders and arrange delivery with all reasonable care the moment receipt of confirmation of sale is received through the Iyenova site via email and/or text message. The delivery options and time indicated on their listing is binding, orders should be fulfilled within 1 working day. The Vendor is required to keep his advertised products and services available to the best of his ability. Repeated stock-outs will result in the removal of the Vendor and their products from the Iyenova platform.
• If a Vendor fulfil an order submitted to him, he must notify Iyenova as soon as possible, and within 1 day of receiving the order at the latest.
• The Vendors agree to adhere to his range of products and prices as provided by Iyenova and as described on their listing on the website. The Vendor guarantees that there are no ongoing criminal, bankruptcy or tax proceedings or other penalties outstanding in relation to the products they are selling through the platform. The Vendor further guarantees to take great care to keep up-to-date his range of products, stock count, prices and associated terms and conditions, like delivery fees.
• he Vendor representative is to provide Iyenova with a copy of his/her valid identity card at the contract signature.

COMMISSION

• The Vendor acknowledges that the relationship between customers and Iyenova is governed by the privacy policy and the general terms and conditions, both available on the website.
• Five per -cent (5%) markup will be charged by Iyenova on all imported and made in Nigeria fashion items after wholesale price is given by the Merchant/Vendor..
• Iyenova may start charging additional fees for the sale of goods through Iyenova platform at any point. These may include but not limited to, listing fees, multiple photos fees and enhanced marketing fee. In the event of the introduction of further fees, the Vendor will be notified prior to their commencement in writing and they will have option to opt out.
• Iyenova reserves the right to adjust the percentages commission, providing suitable notice is served in advance to the Vendor. Iyenova will give the Vendor adequate notice of any commission changes, in writing, via email or any other means.

CUSTOMER ONLINE PAYMENT

• In case of electronic payment by the customer (e.g. by credit card, debit card or wireless online transfer), Iyenova collects the payment for the relevant order in Iyenova’s name on behalf of the Vendor, and pays it out to the Vendor according to the invoicing agreement.
• The Vendors will keep receipts of deliveries to customers for at least five (5) months and make those available on request. In case of problems that may cause the order to be rescinded, or in case of delivery failure, the Vendor must immediately notify Iyenova by phone so that the credit card payment may be cancelled.
• The Vendor bears the risk of abuse of payment medium (e.g. of credit card or debit card fraud). If a fraudulent payment has been credited to the Iyenova.

INVOICING AND VENDOR PAYMENT

• Iyenova’s invoices may be delivered by email, online, post or in person. They include Iyenova’s claims on the Vendor, commission, and if applicable, other fees.
• Iyenova is to send the money to the vendors (3) three days after supply is being made to the customers.
• Iyenova reserve the right to deduct their commission from the vendors before sending the weekly and/or monthly payment to the vendors.
• Payment will be made by bank transfer or cross cheques payable to Iyenova.

LIABILITY

• The Vendor indemnifies Iyenova from all claims arising in relation to matters outside Iyenova’s control, including but not limited to the quality of goods and services provided by the seller. The Vendor further indemnifies Iyenova from third parties’ claims resulting from any violation of laws and regulations by the seller.
• Iyenova cannot guarantee that its service will be free from all malfunctions, but will exercise all reasonable care and skill to resolve any such case.
• VAT liability rests with the Vendor and Iyenova will not be responsible for any VAT issues.

PRIVACY

Both parties are obliged to treat confidentially the content of this agreement, as well as all other information and data they acquire in connection with the partnership, and not use it for purposes outside the scope of this contract or pass it on to third parties. This obligation is in force for 1 year after the termination of the contract. Both parties are obliged to follow privacy laws and handle accordingly all data related to customers, suppliers and business partners.

LICENCE

Iyenova has the right to freely maintain the Vendor listing and its ranking on the website. Iyenova offers the customers the opportunity to give rantings and reviews of the Vendors goods and services on the website, and has the right but not the obligation to publish these online and make them visible to all customers. Iyenova have the right to delete ratings and reviews.

TERMS AND CONDITIONS

• This agreement is valid as soon as the Vendor sign the contract, or fulfils an order referred by Iyenova, and remains valid indefinitely, until termination by either party. Termination can occur at any time, with a period of one-month notice, in writing, by email, post or fax. The revenue generated during this notice period are still subject to the partnership agreement. The right to immediate terminate by either party for important cause remains unaffected.
• The right to immediate termination in particular covers the case where the Vendor repeatedly receives negative ratings and reviews on the website, and when these are not obviously unjustified.

GENERAL

• If a single clause in this agreement is invalid, both parties will endeavor to replace the invalid clause by a valid one that reproduces as closely as possible the intended economic meaning on the invalid clause. The validity of the rest of the agreement remains unaffected. This applies in particular if the agreement is found to be incomplete.
• Iyenova reserves the right to modify his general terms and conditions without giving any justification. In that case, Iyenova will give the Vendor adequate notice via email. The notice will contain advice on the right and period of objection to the changes, and on the consequences of leaving unexercised the right to object.
• The changed terms and conditions are considered agreed by the Vendor if he does not object to them in writhing within 3 days of receiving notice of the changes.
• Any terms and conditions of the Vendor are not part of this agreement unless Iyenova expressly agrees to adhere to them in writing.
